The ATHEER CLOUDS Board of Directors has been established to ensure efficient and transparent business management and strong financial safety. Director Appointment Process
The appointment of internal directors is based on a recommendation from the Board of Directors. External directors, on the other hand, are selected from a pool of independent experts who possess substantial knowledge or experience in relevant fields such as economics, law, social affairs, or technology. These candidates are nominated by the External Director Nomination Committee.
Each nominee undergoes a comprehensive evaluation conducted jointly by the Nomination Committee and the Board of Directors. The final appointment is approved during the General Meeting of the Board.
External directors are prohibited from holding more than two external directorships simultaneously. Additionally, major shareholders or individuals with close affiliations to the company are ineligible for appointment as external directors, to ensure impartiality and uphold corporate transparency.
